Authorization and Release for Use of Likeness (“Authorization and Release”)

By accepting this Authorization and Release, either by clicking a box indicating your acceptance or by executing a form that references this Authorization and Release, you agree to the terms herein.  If you are entering into this Authorization and Release on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this Authorization and Release and have read completely its terms and fully understand and accept them.

Scope of Participation and Recorded Likeness.  I hereby  wish to participate, and to authorize the use of all feedback, testimonials, comments, reviews, photographs, videos, media, images and any other visual or written content (including derivatives or composites thereof) submitted by me or any of my agents (referred to as “Recorded Likeness”), in advertisements, promotional and sales materials, written, electronic and internet materials, videos and programs, in any and all mediums of publication (“Programs”) undertaken, produced and distributed by Mighty LLC, including its affiliates, subsidiaries, parent entities and their respective affiliates, successors and assigns (collectively, the “Company”), which may, without limitation, include publicity and promotion of the Programs, the Company and/or its clients, event holders, and retailers and their respective parents, affiliated companies, subsidiaries, subcontractors, directors, officers, employees, representatives, agents, successors and assigns (collectively, the “Company Parties”).  I understand my Recorded Likeness may be copied and distributed by means of various media, including, without limitation, video presentations, social media, news, bulletins, mail outs, signs, brochures, websites, handbooks, training manuals or newspapers.

Authorization of Use. I hereby authorize the Company Parties, and those acting under their permission to copyright, use, exhibit, transmit, broadcast and/or publish, on a worldwide basis, in perpetuity, whether by digital, or other method: any film/videotape, tape, audio recordings, footage, photographs, negatives, reproductions and/or otherwise of my Recorded Likeness in whole or in part, as may be changed, or reproductions or illustrations thereof, made through and used in any medium whatsoever (now existing or hereinafter created) and in all forms of marketing and advertising, now or at any time in the future.

Assignment of Rights and Waiver. I further grant, assign and transfer to the Company Parties all rights of every nature relating to the reproduction and use of such Recorded Likeness, and hereby waive any rights that I may have, including any right to inspect or approve the reproduction and use.  I grant permission to the Company Parties to modify or alter the Recorded Likeness in their discretion.  I also consent to the use of my name (including the name of the authorized representative executing this Authorization and Release) in connection with the Recorded Likeness.

Consideration. In exchange for the intangible value I will gain by participating in the Programs, I acknowledge and agree that all use contemplated herein confer no rights of ownership to me and no payment, royalties or consideration will be due to me for use of my Recorded Likeness as set forth herein.  

Representations, Warranties and Further Assurances. I represent and warrant that I am unaware of any person whose interests may be adversely affected by use of the Recorded Likeness.  This Authorization and Release does not conflict in any way with any existing commitments or other representations on my part.  I agree to execute such further assignments and instruments as may be reasonably necessary to enable the Company Parties to exercise, perfect and protect the benefits and rights granted in this Authorization and Release. I warrant that I have the authority to grant all of the rights conveyed in this Authorization and Release and agree that this Authorization and Release shall be binding upon my heirs, executors, administrators, successors and assigns.  

Release of Liability and Indemnification. I hereby release the Company Parties from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Programs or the use of my Recorded Likeness as contemplated herein, including, without limitation, claims of privacy or confidentiality. I also agree to indemnify, defend and hold harmless the Company Parties from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising out of any breach of my obligations, representations and warranties under this Authorization and Release.

Relationship to Other Agreements. If I have entered into a Member Agreement with Company, any dispute arising under the Member Agreement will be resolved according to its terms and any conflict with the Authorization and Release will be governed by the Member Agreement. Likewise, if I have entered into a Provider-Advertiser Agreement Terms including any related statements of work (collectively, the "Provider-Advertiser Agreement"), any dispute related to the Provider-Advertiser Agreement will be governed solely by its terms and control over this Authorization and Release. Unless otherwise provided herein, this Authorization and Release contains all the understandings and representations I have with the Company pertaining to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

Governing Law and Venue. This Authorization and Release shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-law principles. Venue for any dispute arising under or relating to this Authorization and Release shall lie exclusively in the state or federal courts located in Clark County, Nevada.
